1. Agreement to Terms

By accessing and using Gent ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to abide by the above, please do not use this service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Gent.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on Gent for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

Modify or copy the materials
Use the materials for any commercial purpose or for any public display
Attempt to decompile or reverse engineer any software contained on Gent
Remove any copyright or other proprietary notations from the materials
Transfer the materials to another person or "mirror" the materials on any other server
Violate any applicable laws or regulations
Access or search the Service by any means other than our publicly supported interfaces
Scrape, crawl, or use automated tools to extract data without written permission

3. Account Registration

To use certain features of Gent, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain the confidentiality of your password
Assume responsibility for all activities under your account
Notify us immediately of any unauthorized access or use
Be at least 18 years old and have legal authority to enter into this agreement

You are responsible for any activity that occurs under your account, whether authorized or not.

4. Acceptable Use

You agree not to use Gent for any unlawful purposes or in violation of any applicable laws. Specifically, you agree not to:

Send spam, harassing messages, or unsolicited communications
Violate anti-spam laws (CAN-SPAM, GDPR, CASL, etc.)
Engage in harassment, threats, or abusive behavior
Infringe upon intellectual property rights
Upload viruses, malware, or harmful code
Attempt to gain unauthorized access to our systems
Impersonate others or misrepresent your identity or affiliation
Collect or track personal information without consent
Use our Service to send illegal or fraudulent communications
Violate any third-party's privacy rights
Engage in any form of automated data harvesting or scraping

5. Intellectual Property Rights

Our Content: All content on Gent, including text, graphics, logos, images, software, and trademarks, is the property of Gent or its content suppliers and is protected by international copyright laws. You may not reproduce, distribute, or transmit any content without our prior written permission.

Your Content: You retain ownership of any content you upload or create through our Service ("Your Content"). By uploading Your Content, you grant Gent a worldwide, non-exclusive, royalty-free license to use, copy, modify, and display Your Content solely to provide and improve our Services.

Prospect Data: You represent and warrant that you have the legal right to all prospect and lead data you input into Gent. You are responsible for compliance with all applicable data protection and anti-spam laws regarding your prospect lists.

6. Limitations of Liability

To the maximum extent permitted by law:

Gent is provided "as is" and "as available" without warranties of any kind
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
We are not liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability for any claim shall not exceed the amount you paid for the Service in the 12 months preceding the claim
Some jurisdictions do not allow disclaimers of implied warranties, so these limitations may not apply to you

7. Service Modifications

We reserve the right to modify, suspend, or discontinue any part of Gent at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of our Service.

8. Termination

We may terminate or suspend your account and access to Gent immediately, without prior notice or liability, for any reason, including:

Violation of these Terms of Service
Illegal activity or fraud
Non-payment of fees
Violation of applicable laws
Violation of third-party rights

You may terminate your account at any time by contacting us or through your account settings.

9. Fees and Payment

Subscription Fees: You agree to pay all fees associated with your chosen plan. Fees are billed according to your subscription cycle (monthly, annual, etc.).

Billing: You authorize Gent to charge your payment method on file for all fees due. You are responsible for providing accurate and complete billing information.

Changes to Fees: We may modify pricing with 30 days' notice. Continued use of the Service after price changes constitutes acceptance of new fees.

Refunds: Except as required by law, all fees are non-refundable. We may offer prorated refunds for unused portions of your subscription at our sole discretion.

Overdue Accounts: If payment is not received, we may suspend or terminate your account.

10. Data and Compliance

Data Protection: You are responsible for ensuring your use of Gent complies with all applicable data protection laws, including GDPR, CCPA, CASL, CAN-SPAM, and local regulations.

Anti-Spam Compliance: You agree to comply with all anti-spam laws. Gent will not assist with illegal spam campaigns or enable violations of anti-spam legislation.

Third-Party Integrations: When you authorize integrations with third-party services (email, CRM, etc.), you authorize us to access and use data necessary for those integrations. You remain responsible for compliance with those platforms' terms.

Data Backup: While we strive to maintain service uptime and data integrity, we are not responsible for data loss. You should maintain regular backups of Your Content.

11. Indemnification

You agree to indemnify, defend, and hold harmless Gent and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your use of prospect data or outreach campaigns
Your content or information uploaded to the Service

12. Dispute Resolution

Informal Resolution: Before pursuing legal action, you agree to contact us and attempt to resolve disputes informally.

Governing Law: These Terms are governed by the laws of California, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding shall be exclusively brought in the state or federal courts located in San Francisco, California, and you consent to jurisdiction and venue there.

Arbitration: For any disputes, either party may elect binding arbitration under the American Arbitration Association (AAA) rules, to be held in San Francisco, California.

13. Limitation on Legal Actions

Any claim or action arising from your use of Gent must be brought within one year of the claim arising, or the claim is barred forever.

14. Modifications to Terms

We may modify these Terms of Service at any time. We will notify you of material changes by posting the updated Terms and updating the "Last Updated" date. Your continued use of Gent after such modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms of Service, along with our Privacy Policy, constitute the entire agreement between you and Gent regarding your use of the Service and supersede all prior or contemporaneous communications.
